Terms of Service

Please read these Terms of Service ("Terms") carefully before using the UpMonitor platform ("Service") operated by UpMonitor EOOD ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any public-facing tools on our website, you confirm that:

  1. You are at least 16 years of age (or the age of digital consent in your jurisdiction).
  2. You have the legal authority to enter into these Terms on behalf of yourself or your organisation.
  3. You agree to comply with all applicable laws and regulations.

2. Description of Service

UpMonitor provides a website monitoring and diagnostics platform that includes:

  • Uptime Monitoring: Automated HTTP checks at configurable intervals.
  • Deep Diagnostic Audits: SSL certificate validation, DNS resolution checks, HTTP header analysis, security header evaluation, and performance metrics.
  • Alerting: Email and webhook notifications upon detected failures or recovery.
  • Dashboard: A user interface to configure monitors, view historical check results, and manage integrations.
  • Public Tools: Free, anonymous, rate-limited diagnostic tools accessible without registration.
  • Shadow Monitor API: A stateless CI/CD integration API for on-demand checks.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Account Registration

To access authenticated features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately at support@upmonitor.io of any unauthorised use of your account.
  • Not share account credentials with third parties (except where a team feature is explicitly provided).

We reserve the right to terminate accounts that violate these Terms.

4. Service Tiers & Plans

4.1 Free Tier

The Free tier is provided at no charge and includes:

  • Up to 3 active monitors
  • Check interval: 5 minutes minimum
  • Check history retention: 30 days
  • Email alerts
  • Access to standard checker types (SSL, DNS, HTTP, Security Headers, Performance)

4.2 Pro Tier (Paid)

The Pro tier is available via paid subscription and includes:

  • Up to 25 active monitors (or as stated on the pricing page)
  • Check interval: 1 minute minimum
  • Check history retention: 90 days
  • Webhook notifications with HMAC signing
  • Custom HTTP headers for authenticated endpoint checks
  • Multi-region monitoring across 6 global regions
  • AI-powered Lighthouse+ diagnostics
  • API access

4.3 Agency Tier (Paid)

The Agency tier is designed for agencies and AI-native teams and includes everything in Pro, plus:

  • Up to 100 active monitors
  • Check history retention: 365 days
  • Multi-region monitoring across 18 global regions
  • Full raw Lighthouse Report (LHR) + CrUX field data via MCP
  • Agentic webhooks (MCP URIs)
  • Public status pages
  • Priority support
  • Team members (coming soon)

Feature limits are subject to change. Current limits are always described on the Pricing page.

4.4 Fair Use

Free tier public audit tools are rate-limited to prevent abuse. Programmatic or automated use of the public audit endpoint is prohibited on the Free tier without a valid API key.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Monitor websites or systems you do not own or have explicit permission to test.
  • Attempt to disrupt, overload, or compromise the infrastructure of UpMonitor or any third-party system.
  • Circumvent, disable, or interfere with security features.
  • Reverse-engineer, decompile, or extract source code from the Service.
  • Resell or sublicense the Service without written authorisation.
  • Transmit viruses, malware, or any other harmful code.
  • Violate any applicable laws, particularly those governing unauthorised system access (e.g., the Computer Misuse Act, CFAA).

Violations may result in immediate account suspension or termination.

6. Service Level Agreement (SLA)

6.1 Uptime Commitment

We target 99.9% monthly uptime for the core monitoring infrastructure (equivalent to ~43 minutes of downtime per month). This is a target, not a guarantee.

6.2 Scheduled Maintenance

Planned maintenance windows will be announced at least 24 hours in advance via our status page. Downtime during scheduled maintenance is excluded from SLA calculations.

6.3 Exclusions

The uptime SLA does not apply to downtime caused by:

  • Your monitored endpoints or third-party services
  • Force majeure events (natural disasters, acts of government, etc.)
  • Third-party infrastructure outside our control (e.g., Google Cloud Platform outages)
  • DDoS attacks or other malicious activities targeting our infrastructure
  • Your violation of these Terms

6.4 Service Credits

If we fail to meet the 99.9% uptime target in a given calendar month, Pro tier subscribers may request proportional service credits (not cash refunds) by contacting support within 30 days of the incident.

7. Payment & Billing

7.1 Subscription Fees

Pro tier subscriptions are billed monthly or annually as selected at checkout. All fees are in USD unless stated otherwise.

7.2 Billing Provider

Payments are processed securely by Stripe. We do not store full payment card details on our servers.

7.3 Renewals

Subscriptions renew automatically unless you cancel before the renewal date. You will receive a renewal reminder email at least 7 days before renewal.

7.4 Refunds

  • Monthly plans: No refunds after the billing cycle has started.
  • Annual plans: A pro-rated refund may be issued within 14 days of the start of a new billing year. Contact support@upmonitor.io.

7.5 Price Changes

We will provide at least 30 days' notice before changing subscription prices. Price changes take effect at your next renewal.

8. Data Ownership & Privacy

8.1 Your Data

All data generated by monitoring your websites — including check results, response times, and SSL data — belongs to you. You may export or delete it at any time via the dashboard or by contacting us.

8.2 Our Use of Aggregated Data

We may use anonymised, aggregated (non-identifiable) data derived from monitoring activity to improve the Service, generate industry benchmarks, and publish insights.

8.3 Privacy Policy

Our data practices are described in detail in our Privacy Policy, which is incorporated into these Terms by reference.

9. Intellectual Property

9.1 Our IP

The Service, including its software, algorithms, UI design, logos, and all content we create, is owned by UpMonitor EOOD and protected by copyright, trademark, and other intellectual property laws.

9.2 Your Licence to Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide licence to use that feedback without any obligation to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY OR COMPLETENESS OF CHECK RESULTS
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • THAT THE SERVICE WILL DETECT ALL DOWNTIME EVENTS

UpMonitor is a monitoring tool, not a guarantee of your website's availability. You remain responsible for your own infrastructure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL UpMonitor EOOD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost profits, loss of data, or business interruption.
  • OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM or €100, whichever is greater.

Some jurisdictions do not allow such limitations; these may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless UpMonitor EOOD and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or data you submit to the Service

13. Termination

13.1 By You

You may delete your account at any time via the account settings page. Deletion is permanent and will result in the loss of all monitoring history.

13.2 By Us

We may suspend or terminate your account immediately and without prior notice if you:

  • Violate these Terms
  • Engage in fraudulent or abusive behaviour
  • Fail to pay subscription fees after a grace period

Upon termination, your right to use the Service ceases immediately.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • Registered users will be notified by email at least 14 days before changes take effect.
  • The "Last Updated" date at the top will be revised.

Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Bulgaria, European Union, without regard to conflict-of-law principles. Any disputes shall first be submitted to good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Pleven, Bulgaria.

EU consumers retain their rights under the applicable consumer protection laws of their country of residence.
